Terms & Conditions

The terms that govern your access to and use of Nerivo AI, including accounts, AI-generated content, uploaded material, Deep Research, and the limits of the service.

Effective: [EFFECTIVE DATE]Last updated: [LAST UPDATED]

In short

These Terms are a contract between you and the operator of Nerivo AI. By using the service you accept them. Please read the sections on AI accuracy, uploaded content, acceptable use, and liability in particular.

Some details in this document are still marked as pending confirmation and appear in square brackets. They are left deliberately visible rather than filled in with assumed values.

1. Introduction and Acceptance

These Terms & Conditions ("Terms") govern your access to and use of Nerivo AI (the "Service"), operated by Noveriks Team ("we", "us", "our"). The Service is available at https://www.nerivo.noveriks.com.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service. If you use the Service on behalf of an organisation, you confirm that you have authority to accept these Terms for that organisation.

These Terms incorporate by reference the following documents, which form part of your agreement with us:

  • the Privacy Policy
  • the Cookie Policy
  • the Acceptable Use Policy
  • the AI Disclaimer and AI Usage Policy

2. Who We Are

The Service is operated by Noveriks Team.

  • Legal entity: [LEGAL ENTITY NAME]
  • Registered address: [REGISTERED ADDRESS]
  • Contact email: help.mahinulislam@gmail.com

3. What the Service Does

Nerivo AI is an AI-powered assistant. Depending on the features made available to you, the Service may allow you to:

  • converse with AI models in a chat interface
  • select between multiple AI models
  • use an extended "Deep Thinking" mode
  • run Deep Research through Nerivo Reacher, which searches the web and reads publicly accessible sources
  • analyse images and documents you provide
  • generate, explain, and debug code, and execute code in a sandbox
  • use voice input and spoken responses
  • analyse data and generate structured output
  • save conversation history and preferences
  • read and interact with blog and community content
  • contact human support through live chat

Features may be added, changed, limited, or withdrawn at any time. Not every feature described in our marketing or documentation is necessarily enabled for every user or at every time.

The Service is offered as a free service. We do not currently operate paid plans, subscriptions, or paid add-ons, and we do not currently process payments. If we introduce paid features in future, we will update these Terms before they take effect.

The Service is not an official record-keeping system. Do not rely on it as your only copy of anything important.

4. Eligibility

You may use the Service only if you can form a binding contract with us and are not barred from doing so under applicable law.

The Service is not directed to children. You must be at least 13 years old, or the minimum age of digital consent in your jurisdiction if that is higher. If you are under the age of majority where you live, you may use the Service only with the involvement of a parent or legal guardian.

We do not knowingly permit children below the applicable minimum age to hold accounts. See the Privacy Policy for how we handle any such data.

5. Accounts and Registration

Some features require an account. Accounts are provided through our authentication provider and support:

  • registration and sign-in with an email address and password
  • sign-in with a Google account
  • password reset by email
  • for internal administrative accounts only, an email sign-in link used for invitations

You agree to provide accurate information when registering and to keep it current. You are responsible for the activity that occurs under your account.

Some features are available without an account. Where you use the Service as a guest, data associated with that use may be stored only in your own browser and may not be recoverable by us.

6. Account Security

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly if you believe your account has been compromised.

  • Choose a strong, unique password
  • Do not share your account
  • Do not attempt to access another person’s account
  • Log out from shared devices

We may suspend access where we reasonably believe an account has been compromised or is being used in breach of these Terms or the Acceptable Use Policy.

7. Permitted Use

You may use the Service for lawful personal or professional purposes, including learning, drafting, analysis, coding assistance, and research, provided you comply with these Terms and the Acceptable Use Policy.

You are responsible for ensuring that your use of the Service, and any content you submit, complies with the laws that apply to you.

8. Prohibited Use

Your use of the Service is also governed by the Acceptable Use Policy, which forms part of these Terms. In summary, you must not use the Service to:

  • break the law or facilitate unlawful activity
  • commit fraud or deceive others
  • generate or distribute malware
  • gain unauthorised access to any system or account
  • infringe intellectual property or privacy rights
  • harass, threaten, or harm others
  • circumvent usage limits, security controls, or access restrictions
  • attack, overload, or probe our infrastructure or any third party’s
  • use Deep Research to probe or attack systems you are not authorised to test

We may investigate suspected breaches and may suspend or terminate access. Serious breaches may be reported to the relevant authorities.

9. AI-Generated Content

Output produced by the Service is generated or assembled by automated systems, including third-party AI models and, for Deep Research, automated retrieval from public web sources.

AI output can be wrong, incomplete, outdated, or fabricated. It may contain errors even when it appears confident and well-structured. You must review it before relying on it.

Output is not professional advice. It is not a substitute for qualified legal, medical, financial, tax, safety, or other professional judgement. See the AI Disclaimer for detail.

You are responsible for how you use AI output, including any decision you make, any content you publish, and any code you run.

We do not guarantee that output is original, accurate, lawful, or free of third-party rights.

10. Your Content and the Licence You Give Us

"Your Content" means material you submit to or create within the Service, including prompts, instructions, conversations, research requests, images or files you upload, and content you post to community or blog features.

You retain ownership of Your Content. We do not claim ownership of it.

To operate the Service, you grant us a limited, non-exclusive, worldwide licence to host, store, transmit, process, and display Your Content strictly as needed to provide and secure the Service, to comply with law, and to troubleshoot faults. This licence ends when Your Content is deleted, except where we must retain it to comply with law or resolve a dispute.

You are responsible for ensuring you have the rights needed to submit Your Content. Do not upload material you do not have the right to share, including confidential information belonging to someone else.

Uploaded images and documents are processed to answer your request. Where a file is used to respond to you, its contents are transmitted to the AI provider handling that request. See the Privacy Policy.

11. Our Content and Intellectual Property

"Our Content" means the Service itself and everything we provide with it: the software, source code, interface and visual design, branding, logos, documentation, prompts and system instructions, and our proprietary technology.

We and our licensors own all rights in Our Content. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose. No other rights are granted.

You must not copy, modify, distribute, sell, reverse engineer, or attempt to extract the source code of the Service, or use our branding without our written permission, except where such restriction is prohibited by applicable law.

12. Third-Party Services and AI Providers

The Service depends on third-party providers. Requests you make are transmitted to them so they can be fulfilled. These currently include:

  • AI model providers, which generate chat and reasoning output
  • Google, which provides AI models used for research reasoning and for web-search grounding, and which operates the analytics and tag-management services described in the Cookie Policy
  • a server-side proxy service that relays AI requests without exposing API credentials to the browser
  • cloud database and authentication providers that store account data and conversation history
  • an email delivery provider used for notifications such as password resets and support replies
  • a third-party sandbox service used to execute code you choose to run
  • public search providers used to discover web sources for Deep Research
  • font and content-delivery services used to render the interface

Each provider operates under its own terms and privacy policy. We are not responsible for third-party services, their availability, their accuracy, or their acts and omissions.

Your use of the Service may therefore involve processing by providers located in other countries. See the Privacy Policy for international transfers.

13. Nerivo Reacher (Deep Research)

Nerivo Reacher performs automated research. When you submit a research request, it may:

  • interpret your request and plan research steps
  • generate search queries
  • access external web sources when the feature is available
  • read publicly accessible page content
  • extract information, evidence, and quotations
  • compare findings against your requirements
  • summarise results and provide source links

Reacher can only read what is publicly reachable at the time it runs. It does not access content behind logins, and it should not be used to attempt to.

Research output is not a verified statement of fact. We do not claim to have verified something unless a verification step actually occurred. A result described as unsupported, unverified, or unmatched means exactly that.

External websites are controlled by third parties. Their content, accuracy, availability, and privacy practices are outside our control. A link in a research result does not mean we endorse that site, and it does not make that site’s terms apply to us.

Search coverage changes over time. Results may be incomplete, may miss relevant sources, and may become outdated between the time of research and the time you read it.

Where a research step fails, is unavailable, or is cut short, the Service will report that as a failure rather than presenting it as an absence of information.

14. Accuracy, Availability, and Changes to the Service

The Service is provided on an "as available" basis. We do not warrant that it will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

AI features depend on third-party providers whose availability and usage limits we do not control. Features may be temporarily unavailable, degraded, rate-limited, or withdrawn. Daily limits may apply.

We may modify, suspend, or discontinue any part of the Service at any time, including features, models, and limits. Where we discontinue a feature, we will not be liable for any loss arising from that change.

We may impose reasonable usage limits to protect the Service and its users. Attempting to circumvent those limits is a breach of these Terms.

15. Beta and Experimental Features

Some features are labelled beta, preview, or experimental. They may change or be removed without notice and may be less reliable than the rest of the Service.

You should not rely on experimental features for anything important, and you should keep independent copies of any output you care about.

16. Suspension and Termination

We may suspend, restrict, or terminate your access to the Service, with or without notice, if we reasonably believe that:

  • you have breached these Terms or the Acceptable Use Policy
  • your use presents a security, legal, or operational risk
  • your use may expose us or others to liability
  • we are required to do so by law

You may stop using the Service at any time.

Where your access ends, the provisions of these Terms that by their nature should survive — including ownership, disclaimers, liability limits, and indemnity — will continue to apply.

17. Account, Conversation, and Data Deletion

You can delete individual conversations from within the Service. Deleting a conversation removes that conversation from your history.

Self-service deletion of a whole account is not currently available in the product. To request deletion of your account and associated personal data, contact us using the details in the contact section, and we will action the request in line with the Privacy Policy.

Some records may be retained where we are required to keep them, or where they are needed to resolve a dispute or enforce these Terms. Where we retain data, we limit it to what is necessary.

18. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.

We do not warrant that AI output is accurate, complete, current, lawful, suitable for any purpose, or free of third-party rights, nor that the Service will meet your requirements or operate without interruption or error.

Nothing in these Terms excludes or limits any warranty or liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

19. Limitation of Liability

To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of, or inability to use, the Service.

We are not liable for:

  • decisions you take in reliance on AI output, including output that is inaccurate or incomplete
  • content, availability, or conduct of third-party websites reached through Deep Research
  • the acts, omissions, or availability of third-party providers
  • loss of data where you have not kept your own copy
  • unauthorised access resulting from your failure to keep your credentials secure

To the extent liability cannot be excluded, our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the total amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) the minimum amount required to be paid under applicable law. Because the Service is currently free of charge, this is expected to be minimal or zero, and is stated here so that the position is transparent rather than implied.

20. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold harmless the operator, its team members, and its service providers from claims, damages, liabilities, costs, and reasonable legal fees arising out of:

  • Your Content
  • your use of the Service
  • your breach of these Terms or the Acceptable Use Policy
  • your infringement of the rights of any third party

21. Changes to These Terms

We may update these Terms from time to time, for example to reflect changes in the Service, in the law, or in our providers. When we make material changes, we will take reasonable steps to make you aware, such as publishing a notice in the Service or by email, and we will update the date shown at the top of this document.

Continuing to use the Service after changes take effect means you accept the updated Terms. If you do not agree, you must stop using the Service.

22. Governing Law and Disputes

These Terms are governed by the laws of [GOVERNING JURISDICTION], without regard to conflict-of-laws rules. The courts of [GOVERNING JURISDICTION] will have jurisdiction, unless the law that applies to you gives you the right to bring proceedings elsewhere.

Before commencing formal proceedings, you agree to contact us so that we can attempt to resolve the matter informally.

23. Contact

  • Email: help.mahinulislam@gmail.com
  • Legal entity: [LEGAL ENTITY NAME]
  • Registered address: [REGISTERED ADDRESS]

We aim to respond to legal and privacy enquiries within a reasonable period.
